TERMS AND CONDITIONS FOR ACCESS TO AND USE OF DIGITAL DATA

The files and documents provided herein are considered to be the Architect's Instruments of Service and work products and are protected by federal Copyright Act of 1976. The Architect retains all common law and statutory rights, including copyright.

Files in electronic media format of text, data, graphics, or other types are furnished only for the convenience of the receiving party. Any conclusion or information obtained or derived from such electronic files will be at the user’s sole risk. The party receiving the transmission is responsible for determining accuracy of content.

The Transmitting Party grants to the Receiving Party a nonexclusive limited license to use the Digital Data solely and exclusively to perform services for, or construction of, the designated Project. Any unauthorized reproduction, distribution, or use of these documents and information for any purpose other than the Project identified is strictly prohibited, unless otherwise granted in a separate written license.

The receiving party agrees to keep Digital Data strictly confidential and not to disclose it to any other person except to its employees or those who need to know the content in order to perform services or construction solely and exclusively for the Project.

To the fullest extent permitted by law, the receiving party shall indemnify and defend the transmitting party from and against all damages, claims, and losses of any kind (including defense costs), arising out of the receiving party’s use of the Digital Data on any other project or for any unlicensed use.
